Terms of Service

1. Agreement to Terms
By engaging the services of YAVEX Technologies, accessing our website (www.yavextech.in), or entering into a project agreement with us, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not engage our services. These Terms constitute a legally binding agreement between you ("Client", "you") and YAVEX Technologies ("we", "us", "our").
2. Services Provided
YAVEX Technologies provides the following digital services: • Website Design & Development (HTML, CSS, Next.js, React) • Web Application Development (full-stack) • Graphic Design (social media, print, branding materials) • Logo & Brand Identity Design • Poster & Flyer Design • Related digital consulting services as agreed in writing All services are provided as described in the specific project proposal agreed upon before work commences.
3. Project Engagement & Proposal
3.1 All projects begin with a written proposal (shared via email or WhatsApp) that specifies: • Project scope and deliverables • Timeline and milestones • Total project fee • Payment schedule • Number of revision rounds included 3.2 Work commences only after the client confirms acceptance of the proposal AND the advance payment is received. 3.3 Any requirements not explicitly mentioned in the agreed proposal are considered out-of-scope and will be quoted separately.
4. Payment Terms
4.1 Standard payment structure: • 50% advance payment before project commencement • 50% balance before final file delivery or website go-live 4.2 For projects above ₹15,000, a 3-stage payment plan may be arranged (40% advance / 30% mid-project / 30% delivery) — subject to prior agreement. 4.3 Accepted payment methods: Bank Transfer (NEFT/RTGS), UPI (GPay, PhonePe, Paytm), or as otherwise agreed in writing. 4.4 All prices are in Indian Rupees (INR). GST will be added where applicable as per Indian tax law. 4.5 Late payments (beyond 7 days from due date) may attract a delay fee of 2% per week on the outstanding amount. 4.6 The advance payment is non-refundable once work has commenced.
5. Revisions & Scope Changes
5.1 Each package includes a defined number of revision rounds as specified in the project proposal. 5.2 A "revision" means minor changes to an existing design or concept — adjusting colours, text, layout, or spacing. A revision does not mean starting from scratch with a new direction. 5.3 Additional revision rounds beyond the agreed limit are charged at ₹500 per round for design work, and hourly rates for development. 5.4 Significant scope changes (new features, additional pages, complete direction changes) after work has begun will be quoted separately and may extend the delivery timeline. 5.5 Scope changes must be agreed upon in writing (email or WhatsApp) before additional work proceeds.
6. Client Responsibilities
To ensure timely delivery, the client is responsible for: • Providing all required content (text, images, logos, branding guidelines) within 3 working days of project commencement, or as agreed • Reviewing deliverables and providing specific, actionable feedback within 5 working days of each delivery • Ensuring that all content provided does not infringe on any third-party intellectual property rights • Providing accurate business information for the website or design Delays caused by the client (late content, delayed feedback, extended approval times) will extend the delivery timeline accordingly, with no penalty to YAVEX Technologies.
7. Intellectual Property
7.1 Upon receipt of full payment, all custom designs, code, and content created specifically for your project transfer to you (the client). You receive full intellectual property ownership. 7.2 YAVEX Technologies retains the right to display completed work in our portfolio (website, social media, case studies) unless the client requests confidentiality in writing before project commencement. 7.3 Pre-existing tools, frameworks, libraries, and assets used in your project (Next.js, React, open-source libraries) remain under their respective open-source licences. 7.4 Stock images, fonts, or third-party resources used in your project are subject to their respective licences. We will inform you of any licencing requirements. 7.5 Until full payment is received, all work remains the intellectual property of YAVEX Technologies.
8. Delivery & Timelines
8.1 Project timelines are estimates provided in the proposal. We make every effort to deliver on or before the agreed date. 8.2 Timelines may be affected by: delays in content delivery from the client, scope changes, extended revision cycles, or force majeure events. 8.3 If YAVEX Technologies is unable to meet a deadline due to our own fault, we will communicate proactively and agree on a revised timeline. 8.4 Rush delivery (faster than standard timeline) is available at an additional charge, subject to our current workload.
9. Warranty & Post-Delivery Support
9.1 We provide a bug-fix warranty period as specified in the project package (typically 30–180 days depending on the plan). 9.2 This warranty covers functional bugs in the deliverables — features not working as specified in the agreed proposal. 9.3 The warranty does not cover: • Content changes or additions after delivery • New feature requests • Issues arising from client modifications to the delivered code • Third-party service failures (hosting, DNS, payment gateways) • Browser or device compatibility issues caused by extreme environments 9.4 After the warranty period, ongoing support is available at our standard hourly or monthly maintenance rates.
10. Confidentiality
Both parties agree to treat all non-public business information shared during the project as confidential and not to disclose it to third parties without prior written consent, except where required by law. YAVEX Technologies will not share your project details, business information, or client data with any third party without your explicit permission.
11. Limitation of Liability
11.1 YAVEX Technologies' total liability for any claim arising from a project is limited to the total fees paid by the client for that specific project. 11.2 We are not liable for: • Indirect, consequential, or incidental losses • Loss of business, revenue, or profits arising from the use of our deliverables • Third-party service failures (hosting downtime, payment gateway issues) • SEO ranking changes due to Google algorithm updates after delivery 11.3 We do not guarantee specific SEO ranking positions, website traffic levels, or business outcomes. We build websites that follow SEO best practices, but search engine results are determined by Google's algorithms.
12. Termination
12.1 Either party may terminate a project with 7 days' written notice (email or WhatsApp). 12.2 In the event of termination: • Payment is due for all work completed up to the termination date, calculated on a pro-rata basis • The advance payment is non-refundable • Work completed will be delivered upon receipt of payment for completed stages 12.3 YAVEX Technologies reserves the right to terminate a project immediately if the client engages in abusive, threatening, or illegal behaviour.
13. Dispute Resolution
13.1 In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation via email or WhatsApp. 13.2 If negotiation fails, the dispute shall be referred to mediation before any legal proceedings are initiated. 13.3 These Terms are governed by the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu.
14. Amendments
YAVEX Technologies reserves the right to update these Terms of Service at any time. Updated terms will be posted on this page with a revised date. Continued engagement of our services after changes constitutes acceptance of the revised terms.
